Terms of Service

These Terms of Service (“Terms”) govern your access to and use of OwnMind Labs’ website, products, services, workshops, and any related deliverables (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

1. Eligibility & Accounts

  • You must be legally capable of entering into a binding agreement to use the Services.
  • You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.

2. Scope of Services

OwnMind Labs provides AI-powered engineering services, consulting, custom development, integrations, educational platforms, and R&D/beta initiatives. The exact scope, timeline, and deliverables (if any) may be defined in a proposal, statement of work, email confirmation, invoice notes, or platform description.

  • Any dates, estimates, or milestones are best-effort unless explicitly stated as guaranteed in writing.
  • Beta/R&D projects may change, pause, or be discontinued at any time.

3. No Guarantees / No Professional Advice

  • We do not guarantee outcomes, results, performance metrics, rankings, approvals, or business success.
  • Consulting and recommendations are provided for informational purposes and do not constitute legal, financial, medical, or regulatory advice.
  • You are solely responsible for decisions made based on any deliverables or guidance.

4. Client Responsibilities

  • You agree to provide accurate information, timely feedback, and necessary access (where applicable) to enable delivery.
  • Delays caused by missing information, late feedback, or third-party dependencies may impact timelines.
  • You are responsible for ensuring your use of the Services complies with applicable laws and third-party terms.

5. Payments

Payments may be processed via third-party providers (e.g., Stripe, Airwallex) and are subject to their terms. By purchasing, you authorize us (and our payment processors) to charge your payment method for the amounts shown at checkout, on invoice, or as agreed in writing.

  • Unless explicitly stated otherwise in writing, payments are due in advance and are non-refundable (see Refund Policy).
  • We may pause or terminate Services for overdue balances.

6. Chargebacks & Payment Disputes

You agree not to initiate chargebacks or payment disputes for valid charges. If a dispute occurs, you agree to first contact us at support@ownmindlabs.com to attempt resolution.

  • If you file a chargeback after receiving Services, access, or deliverables, we may suspend current and future Services.
  • You may be responsible for reasonable costs associated with dispute handling where permitted by law.

Note: We cannot waive rights granted to you by your bank or card network. This section clarifies our policy and our ability to restrict access/services if a dispute is opened.

7. Intellectual Property

  • We retain ownership of our pre-existing IP, frameworks, templates, know-how, methods, and tooling.
  • Unless otherwise agreed in writing, custom deliverables created for you are licensed for your internal/business use.
  • You may not resell, redistribute, or publicly publish our proprietary materials without written permission.

Third-party software (including open-source) may be used in deliverables. Such components remain subject to their own licenses.

8. Acceptable Use

  • You will not use the Services for unlawful activity, fraud, or infringement of others’ rights.
  • You will not attempt to disrupt, reverse engineer, or compromise the security of our website or systems.

9. Confidentiality

If you share confidential information, we will take reasonable steps to keep it confidential. You agree not to share our confidential methods, pricing, or proposals without permission.

For highly sensitive engagements, we recommend a separate NDA and Statement of Work.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” to the fullest extent permitted by law. We make no warranties, express or implied, including fitness for a particular purpose, merchantability, or non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, OwnMind Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from or related to the Services.

Where liability cannot be excluded, our total liability for any claim is limited to the amount you paid to us for the specific Service giving rise to the claim in the 30 days before the event.

Some jurisdictions do not allow certain limitations; in that case, these limitations apply to the maximum extent allowed.

12. Termination

  • We may suspend or terminate access if you violate these Terms or if required for security, compliance, or risk reasons.
  • You may stop using the Services at any time. Payments already made remain subject to the Refund Policy.

13. Updates to These Terms

We may update these Terms from time to time. The “Effective Date” will reflect the latest version. Continued use of the Services after updates constitutes acceptance of the revised Terms.
